Based on the information you gave us, you are interested in ordering the maintenance package for your S Corp. There may or may not be additional items that would apply (see below). The $2900 Fees include 1-2 Shareholders and all-state registration fees to update the entity records (if applicable). Only order the additional items if you are SURE that you need them! To get started, order the S Corp package for $2900. As we start working on your documents, then we will let you know what else is needed and send you links to take care of these additional Fees.

Fees that may or may not Apply:
$350 if the Certificate of Organization (Articles) need to be amended;
$350 to register or transfer a DBA;
$500 for each additional shareholder (above the 2 that are included).

Legal Entity Verification: Every Legal Entity must be “verified” by Avanta. This package includes ONE Legal Entity Verification.
Preparation of the Company Agreement (the Shareholder+Bylaws Agreement);
Designating Authority Written Consent;

Legal Entity Owner’s Manual;
A template document set for other docs; and

What is a Company Agreement?

The Company Agreement is a key document that describes the operations of an S Corp and sets out all the terms and conditions you must follow as Shareholders, Directors and Officers. Each Company Agreement for a Legal Entity differs because the people and circumstances differ. Key elements include:

Creating credibility when terms are written using plain language and not legalese
Avoiding any misunderstanding about the expectations of the Owners
Allowing ownership interest to peacefully transfer if there are disagreements between Owners
Figuring out ahead of time how the fair value of ownership will be determined
