Based on the information you gave us, you are interested in ordering the maintenance package for your Single Member LLC.  There may or may not be additional items that would apply (see below). Fees that may or may not Apply:
$350 if the Certificate of Organization (Articles) need to be amended;
$300 Legal Entity Verification (for any member that is a legal entity);
$350 to register or transfer a DBA;
Here are some questions to think about to see what else may need to be ordered:
1. Is your membership represented by you individually or under another legal entity like an LLC or S Corp?
2. Will your Articles need to be amended?
3. Do you need a DBA registered?
4. Are you interested in monthly calls with us?
5. Do you prefer assistance with completed Written Consents as needed?

This is how we support clients with a Maintenance Made Easy™️ (MME™️)  Biz Compliant Single Member LLC Package.

Business ownership brings liability risk and that increases when you have ownership in more than one legal entity. Documentation is key to reducing liability risk. The failure to fulfill maintenance obligations may compromise some or all of your legal entities and result in personal liability. With multiple legal entities, it’s a priority to show the lines of separation between each legal entity and then between you the owner, and the legal entities. There’s quite a bit at stake and a high chance of making a mistake.

What is included with a MME™️ Biz Compliant Package for $600?

  • Legal Entity Verification: Every Legal Entity must be “verified” by Avanta. This package includes ONE Legal Entity Verification. $300 for each additional Legal Entity involved. Applies if any Owner is a Legal Entity OR you own more than one business.
  • Preparation of the Company Agreement (the Operating Agreement);
  • Designating Authority Written Consent;
  • Written Consent Templates;
  • Legal Entity Owner’s Manual;
  • A template document set for other docs; and
  • Access to our MME™️ Biz Compliant Tools platform (1) Online access to training videos (2) Biz Compliance Guides (3) Sample documents for Written Consent Forms, Meeting Template Forms, Successor Manager Nomination, Non Owner Officer Consent, Executive Owner Employment Agreement, etc. NOTE: We found that even though we give you all that you need to maintain the LLC, you get busy and forget to actually complete Written Consents, etc.  This is why we have a variety of subscription packages (Click Here).  For your Single Member LLC, this Subscription (Click Here Single) is what we recommend, $100 monthly for 12 months ($1200).

What is a Company Agreement?

The Company Agreement is a key document that describes the operations of an LLC and sets out all the terms and conditions you must follow as Members, Managers and Officers. Each Company Agreement for a Legal Entity differs because the people and circumstances differ. Key elements include:
  • Creating credibility when terms are written using plain language and not legalese
  • Avoiding any misunderstanding about the expectations of the Owners
  • Allowing ownership interest to peacefully transfer if there are disagreements between Owners
  • Figuring out ahead of time how the fair value of ownership will be determined
  • Protecting the Owners in a variety of legal situations
  • Avoiding legal hassles by deciding ahead of time what happens when transferring control among Owners in the event of death or disability
  • Lessens anxiety if a catastrophic event occurs in the business
  • Dealing with uncertainties when relationships change over time
  • Fulfilling maintenance obligations of a Legal Entity
  • Preserving S corporation status (if applicable) in the event of an Owner’s retirement; termination of an Owner’s employment; or the death, disability, divorce, or other creditor issues of an Owner.

Establishing the steps you will take to ensure maintenance happens will force you to stay on top of documentation.
